Terms of Service

These Terms of Service ("Terms") govern your use of Lagrio, the inventory management platform operated by OU TH POINT GROUP ("we", "us", "Lagrio"). By creating an account or using our service, you agree to these Terms.

2. Service Description

Lagrio is an inventory tracking tool for online boutiques. It connects to your e-commerce platform (WooCommerce, Shopify, or custom API) and sends you alerts when stock runs low.

Features include:

  • Real-time inventory tracking
  • Low-stock alerts via WhatsApp, email, or SMS
  • Multi-store management
  • AI-powered receipt import and data normalization
  • Analytics and forecasting

3. Eligibility

You must be at least 16 years old and able to form a legally binding contract. If you are using Lagrio on behalf of a company, you confirm that you have authority to bind that company to these Terms.

4. Account Registration

To use Lagrio, you must:

  • Provide accurate and complete information
  • Keep your login credentials secure
  • Notify us immediately if your account is compromised
  • Not share your account with others

You are responsible for all activity under your account.

5. Trial Period

New accounts receive a 14-day free trial with full access to your chosen plan. No credit card is required to start the trial.

5 days before your trial ends, we will email you a reminder. If you do not add a payment method, your account will pause after 14 days, and your data will be stored for 30 days. After 30 days, data will be permanently deleted.

6. Plans and Pricing

Lagrio offers four subscription plans:

  • Free: €0/month — 50 products, 1 integration, email alerts
  • Starter: €29/month — 100 products, 3 integrations, WhatsApp alerts
  • Growth: €59/month — 2,000 products, unlimited integrations, all alert channels
  • Pro: €99/month — unlimited products, unlimited integrations, all features

Prices are displayed on our Pricing page and may vary by region (EUR for EU, NOK for Norway, SEK for Sweden). All prices exclude VAT.

7. Payment and Billing

Subscriptions are billed monthly via Stripe. You authorize us to charge your payment method on the billing date each month until you cancel.

Charges marked as "Lagrio" will appear on your statement.

7.1 Failed Payments

If a payment fails, we will retry up to 3 times over 7 days. If all retries fail, your account will be downgraded to the Free plan and your data will be retained for 30 days.

7.2 VAT

EU customers pay VAT at the rate of their country. Non-EU customers pay no VAT. VAT is added at checkout.

8. Refunds

We offer a 14-day free trial so you can test Lagrio risk-free. After the trial:

  • No refunds for partial months
  • Cancel anytime — no further charges will occur
  • If you believe you were charged in error, contact us at [email protected]

9. Cancellation

You can cancel your subscription anytime from your Billing page. Cancellation takes effect at the end of your current billing cycle. You will retain access until that date.

After cancellation:

  • Your data will be retained for 30 days
  • You can reactivate within 30 days without data loss
  • After 30 days, all data is permanently deleted

10. Plan Changes

  • Upgrading: Takes effect immediately. You pay the prorated difference.
  • Downgrading: Takes effect at the start of your next billing cycle.

11. Data Ownership

You own all data you upload to Lagrio. We do not claim ownership of your inventory data, product lists, or any content you provide.

You grant us a limited license to use your data solely to provide the service (e.g., to display your inventory in the dashboard, send you alerts).

12. Data Portability

You can export your data at any time in CSV or JSON format from the Products page. This export includes all inventory data, product names, SKUs, quantities, and stock movement history.

13. Data Deletion

When you close your account, we will delete your data within 30 days, except:

  • Payment records (kept 7 years for tax compliance)
  • Aggregated, anonymized analytics (no personal identifiers)

14. Acceptable Use

You agree not to:

  • Use Lagrio for illegal activities
  • Upload malware, viruses, or harmful code
  • Reverse engineer, decompile, or hack the platform
  • Use bots or automated tools to scrape data
  • Sell, resell, or redistribute access to Lagrio
  • Impersonate another user or company
  • Interfere with other users' access

Violation may result in immediate account termination without refund.

15. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. Maintenance windows will be announced in advance when possible.

We are not liable for:

  • Downtime caused by third parties (Shopify, WooCommerce, Stripe)
  • Internet or network failures
  • Force majeure events

16. Limitation of Liability

Lagrio is provided "as is" without warranties of any kind. We do our best to keep your data safe and the service running smoothly, but:

  • We are not liable for lost profits, data loss, or business interruption
  • Our total liability is limited to the amount you paid in the past 12 months
  • We are not responsible for errors in third-party data (e.g., incorrect Shopify sync)

Some jurisdictions do not allow liability exclusions. In those cases, liability is limited to the maximum extent permitted by law.

17. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of Lagrio, your violation of these Terms, or your violation of any third-party rights.

18. Intellectual Property

Lagrio, its logo, design, and all related materials are owned by OU TH POINT GROUP. You may not copy, modify, or distribute our intellectual property without written permission.

Open-source components used in Lagrio are governed by their respective licenses.

19. Third-Party Services

Lagrio integrates with third-party platforms (WooCommerce, Shopify, Stripe, WhatsApp, Twilio). Your use of those services is governed by their terms, not ours. We are not responsible for changes or disruptions to third-party services.

20. Changes to Terms

We may update these Terms from time to time. If we make significant changes, we will notify you by email or via a dashboard notification at least 14 days before the changes take effect.

Continued use of Lagrio after the effective date means you accept the updated Terms.

21. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraud, or fail to pay. You will be notified by email before termination unless immediate action is required (e.g., security threat).

22. Governing Law

These Terms are governed by the laws of Estonia. Any disputes will be resolved in the courts of Tallinn, Estonia.

EU consumers have additional rights under EU consumer protection law.

23. Dispute Resolution

Before filing a lawsuit, please contact us at [email protected] to resolve the issue informally. Most problems can be solved quickly through direct communication.
